TO THE MAXIMUM EXTENT PERMITTED BY LAW:

You agree to indemnify and hold harmless Greenhive Billing Solutions, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from:

12. TERMINATION

12.1 Termination by You

13.2 Arbitration 

Any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Tempe, Arizona.

13.3 Class Action Waiver 

YOU AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS AND YOU WAIVE YOUR RIGHT TO PARTICIPATE IN CLASS ACTION LAWSUITS OR CLASS-WIDE ARBITRATION.

14. FORCE MAJEURE

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or government actions.

15. GENERAL PROVISIONS

These Terms constitute the entire agreement between you and Greenhive Billing Solutions regarding the Services and supersede all prior agreements. 

15.2 Amendments

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
